Rules and Regulations
How riceworks® better

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST

1. How it Works
This contest (“Program”) starts July 1, 2010 AT 8:00.00 a.m. ET and ends September 30, 2010 at 11:59.00 ("Program Period").

(1) Competition Phase: From July 1, 2010 AT 8:00.00 a.m. ET through September 30, 2010, 11:59.00 PM ET ("Competition Period"), registered users are invited to share a video, photo, or typed demonstration of how they make riceworks® work even better for them (“Entry”); entries are to be maximum of 300 words, a one minute long video or a photo in jpeg format. Originality and creativity will determine the winner and are the elements to be collectively referred to herein as the "Judging Criteria".

(2) Judging Phase: From July 1, 2010 through September 30, 2010 ("Judging Period"), Entries that meet the eligibility criteria set forth below ("Eligible Entries") will be evaluated once each month (see paras. 5 & 6) based on the Judging Criteria by a panel of Shearer’s Foods Canada Inc. (“Sponsor”) judges (comprised of employees and management directors).

2. Eligible Entries
Eligible Entries must be submitted by a registered user of the riceworks® better website www.howriceworksbetter.com (an “Entrant”), must be submitted electronically as permitted by that site and must be received during the Competition Period. Entrants must satisfy all of the below criteria or their Entry will not advance to the Judging Phase.  There are no restrictions on the number of original Entries permitted but no Entry may be submitted more than once.

To be eligible to enter the contest, you must:

  • Be a legal resident of Canada (except residents of Quebec), the 50 United States (except residents of Rhode Island), or the District of Columbia that lives primarily in Canada or the United States, except where prohibited by law;
  • Be at least of the age of majority in the Province, State or District in which you reside;
  • Include with your registration all requested contact information; and
  • Not be an employee of Sponsor or a member of their immediate family (spouse/domestic partner, parent, sibling, or child)

3. How to Register
To register, go to http://www.howriceworksbetter.com and complete the registration form at any time during the Program Period. You will be asked to provide your name and email address. By registering, you are acknowledging your acceptance of, and agreement to be bound by, these Program Rules and you may then submit and Entry as permitted by www.howriceworksbetter.com.

4. Disqualification of Entry
Sponsor reserves the right, in its sole discretion, at any time to disqualify any Entry or Entrant that does not comply with the requirements set forth in these Program Rules, or if Sponsor determines that it would be necessary or appropriate to disqualify any Entry or Entrant to avoid potential liability to Sponsor, to maintain the integrity of the Program, or for any reason in Sponsor’s sole discretion to protect the welfare of Sponsor, the Program, or the Program participants.

5. Judging
All Eligible Entries will be evaluated by a panel of judges selected by Sponsor, which will include employees and management directors of Sponsor, based on the two Judging Criteria as follows: (i) Originality, 50%; and (ii) Creativity 50%. The panel will select the top three (3) Entries who received the highest scores. In the event of a tie, the Entry with the highest score in Originality will win. All judging will take place at Sponsor’s offices located at 1030 West Georgia #1900, Vancouver, B.C. V6E 2Y3.  The panel reserves the right to carry over any or all Entries from month to month and consider or reconsider these Entries against Eligible Entries being considered below on a monthly basis.

6. Winner Selection and Notification
One potential winner will be selected each month from all Eligible Entries submitted during the month, with judging occurring on July 31, August 31, and September 30, 2010.  Sponsor will contact the potential winning Entrant for each month on or by August 1, September 1, and October 1 accordingly at the e-mail address provided at registration. The winning Entry will be publicly announced on the How riceworks® better and riceworks® websites on a monthly basis, once all other requirements of these Program Rules have been complied with.

7. Prizes
The Entrant who has submitted the winning Entry for each month will receive a collection of riceworks® products consisting of: a box containing a six-flavors sampler of crisps (5.5 oz. packages) in addition to other riceworks® samples (at an approximate value of less than $1,000 (US)) selected by the Sponsor to represent the suggestion for making riceworks® work even better. The Entrant who has submitted the winning Entry will also receive $4,000 (CDN) if residing in Canada, or $4,000 (US) if residing in the United States, in the form of a check/cheque. The monetary prize will be sent by mail within 2-4 weeks of winner announcement, and the riceworks® samples will be sent as soon as possible, estimated to be within 6-8 weeks. Additional support will include online publicity and, if the Entrant and Sponsor both agree, possible visits by the riceworks® ambassadors.

All federal, state, provincial and local taxes, fees and surcharges on prize packages are the sole responsibility of the prize winner. Before being declared a winner the author of the selected Entry will be required to execute and return an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form within seven (7) days following notification. Return of any prize and/or prize notification as undeliverable or failure of any Entrant to return the Affidavit of Eligibility/Release of Liability/Prize Acceptance Form within the time required or failure of any Entrant to comply with any official rules will result in disqualification and selection of an alternate winner.

By participating in the Program, you warrant that your Entry is original and does not infringe on the intellectual property rights of any third party.  You must also obtain the permission of all people appearing in your Entry, and will provide Sponsor with release forms from these people if requested.  You agree to indemnify Shearer’s Foods Canada Inc. for any claim, demand, judgment, or other allegation arising from any accused or actual violation of anyone’s intellectual property or other legally protected interest in your Entry.  By submitting an Entry, you agree that ownership of the Entry and all intellectual property rights in the Entry are assigned to Sponsor, you waive all moral rights in such intellectual property, and agree to sign any further documentation required by Sponsor to give effect to this clause.  You also understand and agree that your entry may be posted on the Program website or other promotional material for Sponsor without any compensation to you, and that you have no expectation of privacy in any Entry.

Winners grant Sponsor the right to use and publish their legal name and state or province of residence online and in print, or any other media, in connection with the Program. Except winners who are residents of the state of Tennessee, acceptance of a prize constitutes permission for Sponsor and its advertising and promotional agencies to use winners’ names and likenesses for editorials, advertising, and promotional purposes without payment of additional compensation unless prohibited by law. By entering, you release and hold harmless Sponsor, its respective parents, subsidiaries, affiliates, directors, officers, employees, attorneys, agents and representatives from any and all liability for any injuries, loss, claim, action, demand or damage of any kind arising from or in connection with the Program or any prize won, any misuse or malfunction of any prize awarded, any delay in receiving any prize awarded, participation in any Program-related activity, or participation in the Program.

8. General Terms and Conditions
As a condition of participating in this Program, you agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Program shall be resolved individually, without resort to any form of class action, exclusively, before a court of competent jurisdiction located in Vancouver, B.C. which court shall apply the laws of the province of B.C. without regard for rules of conflicts of law.  In any such dispute, you shall, under no circumstances, be entitled to claim punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than your actual out-of-pocket expenses (if any) associated with participating in the Program, and you hereby waive all rights to have damages multiplied or increased.

You agree that the decisions of Sponsor with respect to any and all aspects of Program shall be final, including eligibility, judging and prize fulfillment.  You are not entitles to be present for the judging.

Sponsor is not responsible for: (a) lost, late, unintelligible, incomplete, damaged, or garbled submissions; (b) telephone, computer, hardware, software, programming or network failure or malfunction, or interrupted or unavailable network, server or other connections, or other technical failure or error, or failure to properly process Entries; (c) communication disruption or other forces beyond the reasonable control of Sponsor, including without limitation inability to access the Program website, use the Message Boards, register, submit or endorse Entries, or vote; (d) any disruption related to Internet traffic, virus, bug, or unauthorized intervention; (e) damage caused by computer virus or otherwise to any computer from users' access to or use of the Program website, whether human, mechanical, or electronic; or (f) incorrect or inaccurate information, or other error of any kind, whether caused by Sponsor, participants, users, or by any of the programming or equipment associated with or used in Program.

If such malfunction, error, disruption, or damage occurs, and/or impairs the administration, security, fairness, integrity, or proper execution of the Program, and/or the Program is otherwise not capable of running as planned, Sponsor may, in its sole discretion, suspend the Program for the remainder of the Program Period or terminate the Program by posting a notice on www.howriceworksbetter.com. Sponsor reserves the right in its sole discretion to disqualify the Entry associated with any person found tampering with or abusing any aspect of the Program. Additionally, Sponsor reserves the right in its sole discretion to suspend or terminate any user's access to the Program website or participation in the Program if Sponsor believes such person to be causing any such malfunction, error, disruption, or damage, or such user is suspected of engaging in any unlawful or fraudulent conduct, and to invalidate any endorsements provided or vote cast by such user.

Your access to and use of the Program website and participation in the Program is subject to all applicable international, federal, provincial, state, and local laws and regulations. You agree that your participation in the Program is voluntary, personal, and non-transferable. Sponsor may, in its sole discretion, immediately terminate your access to the Program website should your conduct fail to conform to these Program Rules.

The Program website may provide a link to other websites by allowing you to leave the Program website to access third-party material or by bringing the third-party material into the Program website via "inverse" hyperlinks and framing technology (a "Linked Site”).  Sponsor has no discretion to alter, update, or control the content on a Linked Site. The fact that Sponsor has provided a link to a site is not an endorsement, authorization, sponsorship, or affiliation with respect to such site, its owners, or its providers. There are inherent risks in relying upon using, or retrieving any information found on the Internet; you should make sure you understand these risks before relying upon, using, or retrieving any such information on a Linked Site.

Sponsor permits users to add certain hypertext links to the Program website. Sponsor, however, reserves the right to disable and remove any such links and specifically disclaims any responsibility for the content available on any other internet sites linked to the Program website. Sponsor prohibits the framing of any content available through the Program website. Access to any other Internet sites linked to the Program website is at the user's own risk. You should be aware that Linked Sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions that differ from the provisions provided on the Program website. Sponsor is not responsible for such provisions and expressly disclaim any and all liability related to such provisions.

All content on the Program website, or obtained from a Linked Site, are provided to you "as is" without warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, security, or accuracy. Sponsor does not endorse and is not responsible for: (a) the accuracy or reliability of any opinion, advice, or statement made by users or anyone else on or through the Program website, as they may be contained in the entries or otherwise; (b) any content provided on the Program website and any Linked Sites; or (c) the capabilities or reliability of any product or service obtained from the Program website or a Linked Site. Other than as required under applicable law, under no circumstances will Sponsor be liable for any loss or damage caused by your reliance on information obtained through the Program website or a Linked Site, or your reliance on any product or service obtained from the Program website or a Linked Site. It is your responsibility to evaluate the accuracy, completeness, or usefulness of any opinion, advice, or other content available through the Program website or obtained from a Linked Site.

Please seek the advice of professionals, as appropriate, regarding the evaluation of any specific opinion, advice, product, service, or other content. The information, software, products, nominations, or other content published on the Program website or a Linked Site may include inaccuracies or typographical errors, and sponsors specifically disclaim any liability for such inaccuracies or errors.

Sponsor does not warrant or represent that the content on the Program website is complete or up-to-date. Sponsor is under no obligation to update any content on the Program website other than to post the entries in accordance with these Program Rules or to update these Program Rules if changes are made. Sponsor may change the content on the Program website at any time without notice. You agree that the Sponsor and any of its respective officers, directors, employees, or agents will not be liable, whether in contract, tort, strict liability, or otherwise, for any indirect, punitive, special, consequential, incidental, or indirect damages (including without limitation lost profits, cost of procuring substitute service, or lost opportunity) arising out of or in connection with the Program, the use of the Program website or a Linked Site, or with the delay or inability to use the Program website or a Linked Site, even if Sponsor is made aware of the possibility of such damages. Sponsor cannot and does not guarantee continuous, uninterrupted, or secure access to the Program website.
